Kodaloka ("we", "us") operates an agentic operational middleware that lets AI agents (such as Claude or ChatGPT, via the Model Context Protocol) connect to a merchant's ("you", "Merchant") business account to perform actions such as creating payment links and managing recurring billing, subject to controls you configure (PIN, spending limits, revocation).

Kodaloka is a middleware and payment facilitation layer. We are not a party to, and have no responsibility for, the underlying goods or services a Merchant sells to their own customers.

Kodaloka is intended for Indonesian small and medium businesses. To use the service you must complete business verification (self-attested KYB: business details and either a valid NIK or NPWP). You confirm that all information you submit is accurate and that you are authorized to register the business.

You authorize specific AI platforms to connect to your account via OAuth. You are responsible for which platforms you authorize and for any action an authorized AI agent takes within the limits and PIN controls you configure. You may revoke any connection at any time from your dashboard, effective immediately.

Actions above your configured per-action limit require your PIN. You are responsible for keeping your PIN confidential; actions authenticated with a correct PIN are treated as authorized by you.

Payment processing is provided through our payment gateway partner (currently DOKU). Each successful credit card transaction is subject to a service fee (percentage + flat fee, plus applicable PPN), which you can configure to be absorbed by you or passed on to your customer as a surcharge. Current rates are shown in your dashboard before you activate a payment method.

Fees are calculated and fixed at the time each transaction or invoice is created and do not change retroactively if rates are later updated.

You may configure recurring billing rules that automatically generate invoices and send payment reminders to your clients on a schedule you define. You are responsible for the accuracy of billing rules you create or confirm (directly or through an authorized AI agent) and for notifying your clients as required by your own agreements with them.

You represent and warrant that:

• You will only use Kodaloka for lawful goods and services;
• You will not use the service for money laundering, fraud, or any prohibited transaction under Indonesian law;
• You are solely responsible for any tax, accounting, or regulatory obligations arising from your use of the service;
• You will honor the terms you offer your own customers, independent of Kodaloka.

We aim to keep Kodaloka available but do not guarantee uninterrupted access. We are not liable for losses arising from downtime, delays, or third-party service interruptions (including our payment gateway or AI platform providers).

To the maximum extent permitted by law, Kodaloka's liability for any claim arising from your use of the service is limited to the fees you paid to Kodaloka in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

You may stop using Kodaloka and revoke all AI agent connections at any time. We may suspend or terminate your account for violation of these terms, suspected fraud, or at the request of our payment gateway partner.

We may update these terms from time to time. Continued use of Kodaloka after an update constitutes acceptance of the revised terms.

These terms are governed by the laws of the Republic of Indonesia.
